Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites, client portal, courses, coaching and consulting services (collectively, the “Services”) provided by MSM Global Enterprises (“MSM Global”, “we”, “us”, or “our”). By accessing or using the Services you agree to be bound by these Terms.
1. Eligibility and accounts
You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an account or purchase Services. You are responsible for the accuracy of the information you provide and for safeguarding your login credentials. You must notify us promptly of any unauthorised use of your account.
2. Services we provide
MSM Global delivers strategy, financial capability and leadership performance services to individuals and organisations. The scope, deliverables, fees and timelines for engagements are defined in the applicable proposal, statement of work, course description or order confirmation. Where there is a conflict between these Terms and a signed engagement document, the engagement document prevails for that engagement.
3. Acceptable use
- You will not use the Services for unlawful, fraudulent, harmful or infringing activity.
- You will not attempt to gain unauthorised access to other accounts, our systems, or other users’ data.
- You will not redistribute, resell, scrape, or use automated means to access course materials, documents, or other content without our written consent.
- You will not upload content that is unlawful, defamatory, infringing, or contains malware.
4. Payments, fees and taxes
Fees are stated in the applicable order, proposal or course listing and are exclusive of taxes unless stated otherwise. You authorise us (and our payment processors) to charge the payment method you provide. Late payments may attract interest and recovery costs. Where required by law, applicable VAT or other taxes will be added.
5. Refunds and cancellations
Refunds for courses and bookings are governed by our Refund Policy. Consulting and coaching engagements are governed by the cancellation terms set out in the relevant engagement document.
6. Intellectual property
All content, frameworks, templates, course materials, recordings, software and trademarks made available through the Services are owned by MSM Global or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes. We retain all other rights.
7. Client content and confidentiality
You retain ownership of content you submit to the Services (“Client Content”). You grant us a non-exclusive licence to host, process and use Client Content solely to provide and improve the Services. We will treat non-public information you share with us during engagements as confidential and use it only for the purpose for which it was shared.
8. Third-party services
The Services may integrate with or link to third-party services (for example, video conferencing, payments, analytics). Your use of those services is governed by the third party’s own terms and we are not responsible for them.
9. Disclaimers
The Services and any information provided are intended for general educational and professional development purposes. They do not constitute legal, financial, tax, medical or other regulated advice and are not a substitute for advice from a qualified professional. The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, to the maximum extent permitted by law. See our Disclaimer for more.
10. Limitation of liability
To the maximum extent permitted by law, MSM Global, its officers, employees and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill or business opportunities, arising out of or related to your use of the Services. Our aggregate liability for any claim shall not exceed the fees you paid to us for the Services giving rise to the claim in the 12 months preceding the claim.
11. Indemnity
You agree to indemnify and hold harmless MSM Global from any claims, damages, liabilities and expenses arising from your breach of these Terms, your misuse of the Services or your violation of any law or third-party right.
12. Suspension and termination
We may suspend or terminate your access to the Services at any time if you breach these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
13. Changes to the Services or Terms
We may modify the Services and these Terms from time to time. Material changes will be notified through the Services or by email. Your continued use after a change takes effect constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of Trinidad and Tobago, without regard to its conflict of laws rules. The courts of Trinidad and Tobago shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may seek injunctive relief in any competent court.
